Terms of Service

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you (“User,” “Club Owner,” “Staff,” or “you”) and SnookBill (“Company,” “we,” “our,” or “us”), governing your access to and use of the SnookBill SaaS platform, website, and all associated services (collectively, the “Service” or “Platform”).

By registering for, accessing, or using SnookBill, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to any part of these Terms, you must immediately cease all use of the Service.

1. Definitions

• “Service” / “Platform”: The SnookBill web application, APIs, and all related software for snooker and pool club management.
• “Club Owner”: An individual or business entity that registers for a SnookBill account to manage a snooker or pool club.
• “Staff Member”: A user invited and authorised by a Club Owner to operate the Platform under their account.
• “End Customer” / “Club Patron”: A third-party individual whose data is recorded in the Platform by a Club Owner or Staff Member.
• “Subscription”: A paid or free-tier plan that grants access to the Platform for a specified period.
• “Content”: All data, records, and information entered into the Platform by a user.

2. Acceptance of Terms

By creating an account, clicking “Register,” accessing the dashboard, or otherwise using the Service, you represent that:

• You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
• You have the legal capacity and authority to enter into this Agreement.
• If you are registering on behalf of a business or legal entity, you have the authority to bind that entity to these Terms.
• All information you provide during registration is accurate, current, and complete.

3. Description of Service

SnookBill is a Software as a Service (SaaS) platform providing snooker and pool club management tools, including but not limited to:

• Real-time table billing (per-minute and per-game modes)
• Customer registration and account-based ledger management
• Food & Beverage (F&B) order tracking and billing
• Staff access management with role-based permissions (Owner, Manager, Staff)
• Analytics and reporting dashboards
• Data backup and export functionality

We reserve the right to modify, enhance, suspend, or discontinue any feature or aspect of the Service at any time. Where a modification materially reduces the core functionality of your current plan, we will provide at least 14 days' prior notice via email or an in-app notification.

4. Account Registration & Approval

To access the Service, you must register for an account. You agree that:

• Your account is subject to review and manual approval by the SnookBill administration team. We reserve the right to decline any registration without providing a reason.
• You are solely responsible for maintaining the confidentiality of your login credentials (email and password).
• You are fully responsible for all activities conducted under your account, whether authorised by you or not.
• You must notify us immediately at manish.agrawal.np@gmail.com if you suspect any unauthorised access to your account.
• You must not share your account credentials with anyone outside of the staff members you explicitly add through the Platform.
• You must not create multiple accounts for the same club or business without prior written approval from SnookBill.

6. Refund Policy

Due to the nature of SaaS services, our refund policy is as follows:

• No Automatic Refunds: Subscription fees are generally non-refundable once a billing period has commenced.
• Exceptional Circumstances: Refund requests may be considered at our sole discretion if a demonstrable service outage or material defect caused by SnookBill prevented you from using the platform for a significant portion of your paid period. Such requests must be submitted within 7 days of the issue occurring.
• Demo Plans: The free Demo/Trial plan carries no financial obligation and therefore no refund applies.
• Early Cancellation: There are no partial refunds for cancellation mid-subscription period. Your access will continue until the end of the paid period.

7. Data Ownership & Portability

Your data is your property. Specifically:

• All content you create within SnookBill — including customer records, billing data, transaction history, F&B orders, and staff records — remains your intellectual property at all times.
• SnookBill acts solely as a data processor on your behalf. We do not claim any ownership rights over your data.
• You may request a full export of your club data at any time via the Data Backup feature available in your account settings (or by contacting Super Admin support).
• We will never use your proprietary business data, customer records, or transaction histories for any purpose other than delivering the Service to you.
• Upon account termination, you have 30 days to retrieve your data. After this period, we reserve the right to permanently and irreversibly delete all associated records from our systems.

8. Acceptable Use Policy

By using SnookBill, you agree NOT to:

• Use the Service for any unlawful, fraudulent, or deceptive purpose.
• Enter false, misleading, or fabricated records into the platform.
• Use the Service to manage businesses or activities that are illegal under the laws of Nepal or your local jurisdiction.
• Attempt to gain unauthorised access to any part of the Service, other users' accounts, or our infrastructure.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service.
• Resell, sublicence, or commercially exploit the Service or any portion thereof without our explicit written consent.
• Use automated bots, scrapers, or crawlers to extract data from the platform.
• Transmit malware, viruses, ransomware, or any other harmful code through the Service.
• Engage in any activity that places an unreasonable load on our infrastructure or disrupts Service availability for other users.
• Remove, obscure, or alter any proprietary notices, watermarks, or branding within the platform.
• Use the Service to harass, threaten, or harm any individual.

Violation of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account, without refund, and we may report violations to the relevant law enforcement authorities.

9. Intellectual Property Rights

All elements of the SnookBill platform — including the software, source code, user interface design, graphics, logos, trademarks, documentation, and proprietary algorithms — are the exclusive intellectual property of SnookBill and are protected under applicable intellectual property laws of Nepal and international treaties.

Your Subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business operations. No other rights are granted. Nothing in these Terms transfers ownership of SnookBill's intellectual property to you.

10. Confidentiality

Both parties agree to keep confidential any non-public, proprietary information disclosed in the course of using the Service. SnookBill will not disclose your business data, customer lists, or transaction records to any third party except as outlined in our Privacy Policy or as required by applicable law.

11. Service Availability & Uptime

We strive to maintain high availability of the SnookBill platform. However:

• We do not guarantee uninterrupted, error-free, or 100% uptime operation of the Service.
• Planned maintenance will be communicated in advance wherever practicable.
• We are not liable for any losses arising from unplanned downtime, data sync delays, or service interruptions caused by factors beyond our reasonable control — including network outages, third-party infrastructure failures, or force majeure events.
• In the event of a prolonged service outage (exceeding 72 hours) caused directly by SnookBill, we will consider providing a pro-rata service credit upon written request.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, SnookBill expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, or error-free; (c) defects will be corrected; or (d) the Service is free of viruses or other harmful components.

13. Limitation of Liability

To the maximum extent permitted by the laws of Nepal:

• SnookBill, its founders, employees, agents, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including but not limited to loss of profits, loss of data, loss of revenue, business interruption, or reputational damage — arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
• Our total aggregate liability to you for any direct claims arising under these Terms shall not exceed the total subscription fees paid by you to SnookBill during the three (3) months immediately preceding the event giving rise to the claim.
• We are not liable for any actions, content, or decisions made by you based on data or reports generated by the Service.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless SnookBill, its founders, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Service.
• Your violation of any provision of these Terms.
• Your violation of any applicable law or third-party rights.
• Any content you enter into the platform, including data about your customers or staff.
• Any dispute between you and your end customers or staff members.

15. Account Suspension & Termination

Either party may terminate this Agreement as follows:

Termination by You

You may cancel your account at any time by contacting SnookBill support. Cancellation takes effect at the end of your current paid billing period. No refunds will be issued for unused time within a billing cycle.

Termination or Suspension by SnookBill

We reserve the right to suspend or permanently terminate your account, with or without prior notice, if:

• You breach any material provision of these Terms.
• Your subscription payment is overdue by more than 7 days.
• We reasonably believe your use of the Service poses a legal, security, or reputational risk to SnookBill or other users.
• We are required to do so by applicable law or a lawful order from a competent authority.

Effect of Termination

• Upon termination, your right to access the Service immediately ceases.
• You will have 30 days from the date of termination to request a full export/backup of your data.
• After 30 days, we will permanently delete all data associated with your account.
• Provisions of these Terms that by their nature should survive termination (including limitations of liability, indemnification, and intellectual property clauses) shall survive.

16. Force Majeure

SnookBill shall not be liable for any failure or delay in performance of its obligations under these Terms resulting from causes beyond our reasonable control, including but not limited to: natural disasters, acts of government, power failures, internet disruptions, cyber-attacks, pandemics, labour strikes, or other events constituting force majeure under the laws of Nepal.

17. Modifications to These Terms

We may revise these Terms from time to time. When we make material changes, we will:

• Update the “Last Updated” date at the top of this page.
• Notify active users via email at least 14 days before the new Terms take effect.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree with the revised Terms, you must discontinue use of the Service and notify us to close your account before the effective date.

18. Governing Law & Dispute Resolution

These Terms and any disputes arising from or in connection with them shall be governed by and construed in accordance with the laws of Nepal, including but not limited to the Contract Act, 2056 B.S., the Electronic Transaction Act, 2063 B.S., and other applicable legislation.

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may refer the matter to the competent courts of Nepal, to whose exclusive jurisdiction both parties hereby submit.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SnookBill with respect to your use of the Service and supersede all prior discussions, representations, warranties, and agreements relating to the same subject matter.

21. Waiver

The failure of SnookBill to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorised representative of SnookBill to be effective.
